Capital Raising and Securities
The firm represents clients in raising capital in equity financings. Such financings include private placements of convertible notes and preferred securities, and venture capital financings. While these investments often involve companies that are beyond the “seed capital” stage, we also represent companies in early stage “family and friends” placements of common stock. We are familiar and experienced in dealing with companies in early stages of capital formation and help founders to navigate the complex securities laws. Our attorneys have considerable experience in counseling clients with respect to securities laws generally, including employee stock option and restricted stock plans. We have extensive experience in assisting clients in navigating through state securities bureaus. Our partners are among the most experienced and respected counsel in New Hampshire in this arena, and are frequently consulted on New Hampshire state securities laws matters.
We also have particular experience working with our clients on securities matters. Any time that a company is looking to raise capital, provide equity incentives, or otherwise offer or sell any kind of security (which may include a promissory note, limited liability company interests, and other forms of securities), the company must keep in mind its securities law compliance obligations.
