Scott W. Ellison is a member of the firm, counseling and representing small and medium sized privately held companies in business and transactional law, commercial law, entity formation and tax matters. Scott’s practice also includes a significant amount of time assisting clients buy and sell businesses, and working with clients on mergers, reorganizations and acquisitions. He works with clients to help obtain financing from lenders, and to put into place contracts to memorialize the relationship of equity owners such as cross-purchase agreements, shareholder agreements, promissory notes and non-competition agreements.
Scott has a Masters of Law in Taxation. He advises his clients on the tax implications of their business strategies and transactions, permitting the clients to take such factors into consideration before making business decisions.
Prior to law school, Scott served in the International Trade Administration of the U.S. Department of Commerce. In the ITA, Scott worked with American companies to resolve obstacles they were encountering with export transactions. It was this experience that fostered Scott’s interest in business law.
